Notice of Meeting
Waikawa Social Club Inc.(WSC)
Special General Meeting followed by 2023 AGM
To be held 19 February at 5.30pm
at WBC clubrooms
Special General Meeting
Purpose: To seek approval to amalgamate the Waikawa Social Club (WSC) with Waikawa Boating Club (WBC)
Background
After researching the original purpose and benefits of the WSC it has become clear that the additional administration and governance of this entity negates any benefits.
From a financial perspective fees payable to YNZ were avoided with the separate entity however after consultation with Yachting NZ an arrangement to provide sponsorship will compensate for affiliation fees payable for social members.
The proposal that we ask you to consider is that we amalgamate the WSC into WBC.
The process requires compliance with Section 191 of the Incorporated Societis Act 2022 hence this notice serves as a copy of the amalgamation proposal.
Additional benefits for Social Members include entitlement to the WBC NPD discount of 22c per litre and inclusion in the members draw on Friday Nights.
All members, assets and liabilities (if any) transfer to WBC. Membership card would be issued ASAP for paid up members and no further fees will be payable until annual invoicing in October 2024. Any fee increases will be approved by members at the AGM and it is not anticipated that a material increase would be proposed.
The current constitution of WBC will be adhered to until a new constitution under the new Incorporated Societies Act is adopted.
Resolution: To apply to the Registrar of Incorporated Societies to amalgamate WSC into WBC and amalgamate the entities following the process as per the Incorporated Societies Act 2022.
